These Terms and Conditions (“Terms”) govern your access to and use of the website, communications, and services of Kaiser Elevator Corporation, together with its subsidiaries and affiliates (collectively, “Kaiser Elevator,” “we,” “our,” or “us”). By visiting our website, contacting us by phone, email, or text message, or requesting or receiving our elevator installation, modernization, maintenance, and repair services, you agree to be bound by these Terms. Please read them carefully. If you do not agree with these Terms, please discontinue use of our site and services.

1. Acceptance of Terms

By accessing our website or engaging Kaiser Elevator for any service, you confirm that you are at least 18 years of age and legally capable of entering into a binding agreement, or that you are acting on behalf of an entity with authority to bind that entity to these Terms. These Terms apply in addition to any signed proposal, quote, work order, service agreement, or contract between you and Kaiser Elevator (each, a “Service Agreement”). In the event of a conflict between these Terms and a signed Service Agreement, the signed Service Agreement controls.

2. Our Services

Kaiser Elevator provides elevator and vertical-transportation services, which may include:

  • New installation of hydraulic and traction elevator systems
  • Modernization and upgrade of existing conveyance equipment
  • Maintenance and service under recurring or one-time agreements
  • Inspection support, repair, and emergency call-out services
  • Estimating, quoting, and project coordination services

All services are subject to the specific scope, pricing, and terms set out in the applicable Service Agreement. Descriptions of services on our website are for general information only and do not constitute an offer or a guarantee that any particular service is available for your project or jurisdiction.

3. Quotes, Proposals, and Pricing

Quotes, bids, and proposals issued by Kaiser Elevator are valid only for the period stated therein and, if no period is stated, for thirty (30) days from the date of issue. Pricing is based on the information available at the time of quoting and on the conditions, drawings, and specifications provided to us. We reserve the right to revise pricing where project scope, site conditions, equipment availability, material costs, applicable duties or tariffs, or regulatory requirements change after a quote is issued. No quote constitutes a binding commitment until accepted in writing by both parties through a signed Service Agreement.

4. Customer Responsibilities

To enable us to perform our services safely and effectively, you agree to:

  • Provide accurate and complete project, jobsite, and contact information
  • Ensure safe, timely, and unobstructed access to the jobsite and work areas
  • Obtain and maintain any permits, approvals, or third-party consents that are your responsibility under the applicable Service Agreement
  • Disclose known hazards, site conditions, or code matters relevant to the work
  • Make payment in accordance with the agreed terms

Delays or additional costs arising from inaccurate information, restricted site access, or unmet customer responsibilities may result in schedule changes or revised pricing.

5. Payment Terms

Payment terms are governed by the applicable Service Agreement or invoice. Unless otherwise agreed in writing, invoices are due upon receipt. Amounts not paid when due may be subject to late charges and reasonable costs of collection, including attorneys’ fees, to the extent permitted by law. We may suspend services or deliveries where payment is overdue. Title to any equipment furnished remains with Kaiser Elevator until payment in full is received, to the extent permitted by applicable law, without limiting any lien or other rights we may have.

6. Warranties and Disclaimers

Any express warranty provided by Kaiser Elevator is limited to the terms set out in the applicable Service Agreement. Equipment manufactured by third parties is covered solely by the manufacturer’s warranty, which we will pass through to you to the extent permitted. Except as expressly stated in a Service Agreement, and to the maximum extent permitted by law, our services and website are provided “as is” and we disclaim all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Kaiser Elevator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to these Terms, our website, or our services, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the services shall not exceed the amounts paid by you to Kaiser Elevator for the specific services giving rise to the claim. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Kaiser Elevator and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your breach of these Terms, your misuse of our website or services, or your violation of any applicable law or the rights of any third party, except to the extent caused by the negligence or willful misconduct of Kaiser Elevator.

9. Scheduling, Delays, and Force Majeure

Project timelines and appointment windows are estimates and may be affected by factors beyond our reasonable control. Kaiser Elevator shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, severe weather, labor disputes, supplier or carrier delays, material or component shortages, changes in law or regulation, governmental action, tariffs, or other force majeure events.

10. Intellectual Property

All content on our website, including text, graphics, logos, designs, and the Kaiser Elevator name and marks, is owned by or licensed to Kaiser Elevator and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written consent. Drawings, estimates, designs, and technical documents prepared by Kaiser Elevator remain our property and may not be used for any purpose other than the project for which they were provided without our written consent.

11. Mobile Communications and Text Messaging

By providing your mobile phone number, you consent to receive text messages from Kaiser Elevator related to your service requests and projects, as described in our Privacy Policy. Message frequency varies based on your service activity, and message and data rates may apply. You may opt out at any time by replying STOP to any message, and you may reply HELP for assistance. Our collection and use of mobile information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Third-Party Links and Services

Our website may contain links to third-party websites or reference third-party products and services. We are not responsible for the content, practices, or availability of any third party, and the inclusion of any link or reference does not imply endorsement. Your dealings with any third party are solely between you and that third party.

13. Privacy

Your use of our website and services is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your information. By using our website or services, you acknowledge that you have reviewed our Privacy Policy.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-laws principles, except where the work is performed in another jurisdiction whose laws are mandatorily applicable. Subject to any dispute-resolution provisions in a signed Service Agreement, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Knox County, Tennessee, for any dispute arising out of or relating to these Terms. Each party waives any objection to venue in those courts.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or applicable law. When we do, we will revise the “Last Updated” date at the top of this document. Your continued use of our website or services after changes take effect constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

16. Severability and Waiver

If any provision of these Terms is found to be unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
